Role of the Job:
Key Result Areas:
- Draft and review contracts, offer letters, letters of intent, and other similar documents as per the respective internal approvals to ensure compliance with the approved conditions and enforceability upon execution.
- Manage the execution, filing, and custody of contracts and other binding documents.
- Support the credit operations unit by reviewing specialized documentation for credit facilities, including securitization, to ensure no exposure arises from inappropriate credit documentation.
- Provide proactive support to the Bank’s recovery teams in managing delinquent accounts.
- Monitor and advise on legal matters arising from routine operations that could lead to litigation and provide legal advice to business units to forestall avoidable litigation.
- Oversee the Bank’s litigation portfolio to ensure effective implementation of agreed litigation strategies, policies, processes, and guidelines in managing cases by and against the Bank.
- Attend court on behalf of the Bank and recommend appropriate legal interventions for litigation matters.
- Recommend, develop, and conduct training for various bank units on legal aspects and best practices.
- Perform company due diligence and ensure compliance with legal obligations.
- Support the timely recovery of non-performing loans and portfolios.
- Conduct legal due diligence on loan files/facilities before approving and disbursing loan funds.
- Assist the Head of Legal in efficiently managing the recovery of non-performing loans.
- Support management in identifying emerging legal risks, mitigating them, and setting performance measures for external service providers (auctioneers, lawyers, court bailiffs).
- Conduct regular legal compliance reviews of statutory laws and regulations applicable to the company and ensure compliance.
Required Competencies:
- Education & Qualification:
- Bachelor of Laws Degree.
- Postgraduate Diploma in Legal Practice.
- Enrolled Advocate of the High Court and subordinate courts.
- Experience:
- Minimum of three (3) years’ experience in a busy law firm or commercial institution with exposure to banking and finance transactions.
- Experience in managing litigation and recoveries.
- Demonstrated experience in contract negotiation and drafting.
- Exposure to credit operations, documentation, and security perfection.
- Skills & Attributes:
- Strong analytical, drafting, and interpretation skills.
- Excellent legal drafting and communication skills.
- Strong interpersonal skills and attention to detail.
- Ability to provide timely and accurate legal opinions and advice.
- Self-motivated, result-oriented, and able to work under minimal supervision.
- Good grasp of legal principles governing banking, finance, corporate law, leasing, mortgages, and employment.
- Ability to keep up with changes in legal requirements and the banking industry to offer practical legal solutions.
